Terms of Service
The legal framework for our digital partnership.
1. Acceptance of Terms
By accessing or using GitKoding’s services, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use our services.
2. Services Provided
GitKoding provides custom software, website, and mobile app development services. The specific scope of work for any project will be defined in a separate Statement of Work (SOW) or Service Agreement.
3. Intellectual Property
Unless otherwise agreed in writing, GitKoding retains ownership of all pre-existing code, frameworks, and tools used in the project. Upon full payment, the client is granted a perpetual, non-exclusive license to use the final deliverables for their intended purpose.
4. Payment Terms
Project payments are typically structured in milestones. We require a 50% upfront deposit to commence work. Final deliverables will be released only upon receipt of the final payment. Late payments may result in a suspension of services.
5. Client Responsibilities
To ensure project success, clients must provide necessary assets (logos, content, API access) in a timely manner. Delays in client feedback or asset delivery may result in adjusted project timelines.
6. Limitation of Liability
GitKoding will not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising out of the use or inability to use our services or products.
7. Termination
Either party may terminate a project with written notice. In the event of termination, the client is responsible for payment for all work completed up to the termination date.
8. Governing Law
These terms are governed by and construed in accordance with the laws of the jurisdiction in which GitKoding is registered, without regard to its conflict of law principles.
9. Changes to Terms
We reserve the right to modify these terms at any time. We will notify clients of significant changes, but continued use of our services constitutes acceptance of the updated terms.
